Governance and directorship in a family business is complex. Family business directors must juggle the dynamics between family members, business demands, and shareholder expectations, all while ensuring the business thrives. A well-structured governance system can facilitate open communication, reduce internal conflicts, and promote long-term sustainability for your family business. 

This course is designed to equip family business owners, directors, and key stakeholders with the tools and knowledge you need to professionalise the governance of your family business and ensure its future success. You will gain a thorough understanding of business and family governance principles, how to establish an effective board structure, and the legal obligations of directors in your family business.

Course Structure

    • Meet your facilitator and fellow participants 

    Everyone will be given the opportunity to introduce themselves and their business. 

    • Detailed overview 

    Your facilitator will take you through the course structure, intended outcomes, requirements to complete the course and what you can expect from the workshops. 

    • Share your governance challenges 

    To help your facilitator ensure that your particular concerns are covered in the material, each member will express their current family and business governance challenges and what they want to learn throughout the course.

    • Explore governance structures in family and business settings
      We will look at how governance works in both the family environment and the business itself, and how the two connect.

    • Balance the interests of owners and the business
      You will learn practical ways to navigate situations where personal priorities and commercial needs do not quite align, and how to keep both sides moving in a healthy direction.

    • Review your current family business structures
      There will be time to reflect on the frameworks already in place in your own family business so you can spot what is working well and what might need attention.

    • Introduce directors duties
      You will get a straightforward overview of what directors are responsible for, how those duties apply in a family business, and why they matter for good governance.

    • Revisit your questions from the previous session
      This is your chance to bring back any questions that came up after reflecting on what you learned last time. We will work through them so you can move into the next topic with confidence.
       
    • Understand the legal responsibilities of Directors and Officers
      You will explore the core legal obligations that apply when you act as a Director or Officer in a family business, including what the law expects from you in practice.
    • Look at key parts of the Corporations Act and the penalties for breaches
      We will walk through the sections that matter most for governance and decision-making, along with the consequences if those duties are not met.

    • Introduce Family Charters
      You will learn what a Family Charter is, how it is structured, and why it can be a powerful tool for clarity, communication, and harmony in a family Business.

    • Your questions from the last session
      We will begin by picking up any questions that surfaced after the previous session so you can keep building on your understanding without loose ends.

    • Understand the financial health of your family business
      You will explore what financial health really looks like, why it matters for long term stability and how it supports good governance.

    • Measure profitability, liquidity and financial stability
      We will break down the key indicators that show how well the business is performing, how easily it can meet its obligations and how resilient it is when conditions shift.

    • Your questions from the last session
      We will open with anything that came up after our last discussion so you can move forward with clarity.

    • Family structures and communication that support long term success
      You will look at the frameworks and communication habits that help family businesses stay healthy across generations, even when conversations get tricky.

    • Integrating family and business governance
      We will explore how to bring the two systems together in a way that strengthens decision-making, reduces confusion and keeps everyone aligned.

    • Getting started and next steps
      You will finish with practical steps you can take right away, along with guidance on what to focus on as you continue building strong governance in your family business.

  • Group Coaching Session (Two Weeks after Session 4)
    During this session, we will regroup to share your experiences in implementing or enhancing governance structures and processes in your family business. You will have the opportunity to work through any questions or challenges with your facilitator and fellow participants, ensuring your efforts lead to successful and lasting outcomes.

Rob and his consultancy, Enginuity Consulting, are rather unique. He is what you might call a ‘Specialist Generalist’​. That is, he deals with all the complex areas of Family Office, Family Council, Board, or CEO would normally cover. Most work is conducted as a result of private referrals or via FBA connections.

Rob's area of expertise includes Family Council and Board implementation and leadership, from start-up, management of business, personal and family lifecycles, through growth to exit or succession, with his specialties being in culture, governance and business performance, leadership, strategy.

Fotini’s broad local and international experience has enabled her to develop expertise in commercial and corporate issues in a diverse range of contexts. Agnes also specialises in facilitating the development of goal focused business strategies including business transition, finance and reporting process improvement, cash-flow forecasting, budgeting, sensitivity analysis, business planning and finance proposals.
